Terms of Service

These Terms of Service (the "Terms") form a binding agreement between you ("you", "Customer") and AllenHark ("AllenHark", "we", "us") governing your access to and use of allenhark.com, any AllenHark subdomain, the AllenHark console, our APIs, and the infrastructure and trading-system products listed on the Site (collectively, the "Services"). By creating an account, purchasing a Service, or otherwise using the Services you accept these Terms. If you do not accept them, do not use the Services.
These Terms incorporate by reference our Privacy Policy and any product-specific terms or order forms you sign with us.
1. Eligibility
You may use the Services only if you are at least 18 years old (or the age of legal majority in your jurisdiction), have the legal capacity to enter into a contract, and are not located in, organized under the laws of, or ordinarily resident in any country or region subject to comprehensive sanctions administered by the United States, the European Union, the United Kingdom, or the United Nations, and are not listed on any restricted-party list maintained by those authorities. You represent and warrant that the information you provide to us is accurate, current, and complete, and that you will keep it accurate, current, and complete.
2. Accounts & Security
You are responsible for all activity that occurs under your account, including activity by anyone you authorize to access it. Keep your password, API keys, and wallet credentials confidential. Notify us at s••••••yallenhark.com immediately on discovering any unauthorized use. We may suspend access to any account that we reasonably believe is compromised, abusive, or in breach of these Terms.
3. The Services
AllenHark provides Solana infrastructure (including ShredStream, RPC, gRPC, the AllenHark Relay, Slipstream, co-location, and VPS hosting) and trading systems (including Flare, PumpFun Sniper, Bonk Sniper, and the Arbitrage Bot) on a subscription or pay-as-you-go basis. Specific features, capacity limits, regions, and service levels are described on the product pages and in the AllenHark Console at checkout. We may modify, add, or discontinue features at any time; if a change materially reduces a paid Service we will give you reasonable notice and, where appropriate, a pro-rata refund of the unused portion.
4. Subscriptions, Billing & Refunds
- Fees. Fees for each Service are displayed in the Console at the time of purchase, in USD or cryptocurrency equivalent. You authorize us to charge your chosen payment method for the Services you select.
- Renewals. Subscriptions renew automatically at the end of each billing period unless you cancel before renewal. Cancellation takes effect at the end of the then-current period; we do not pro-rate cancellations mid-period.
- Crypto payments. On-chain settlement is final once confirmed. We cannot reverse a confirmed on-chain payment; refund requests for crypto payments are at our discretion and, if granted, are settled in a token of our choice at the spot price at the time of refund.
- Refunds. Except where required by law or expressly stated in a product page, all fees are non-refundable. We may issue service credits to compensate for material outages at our discretion.
- Taxes. Fees are exclusive of any sales, VAT, GST, withholding, or similar taxes, which are your responsibility.
- Late payment. Past-due balances may result in suspension of the Services and accrue interest at the lower of 1.5% per month or the maximum rate permitted by law.
5. Acceptable Use
You agree that you will not, and will not permit any third party to:
- Use the Services in violation of any applicable law or regulation, including sanctions, anti-money-laundering, securities, and consumer-protection laws;
- Send spam, unsolicited bulk email, phishing, malware, or any content that violates an anti-spam law or the acceptable-use policy of any provider we rely on (see Section 6);
- Use the Services to attack, probe, scan, overload, or impair any network or system that you are not expressly authorized to test;
- Front-run, sandwich, or otherwise abuse Solana validators, mempools, or other AllenHark customers, or use the Services to launder funds, manipulate markets, or finance illegal activity;
- Reverse engineer, decompile, or attempt to derive source code from any closed component of the Services, except to the extent that this restriction is prohibited by applicable law;
- Resell, sublicense, or white-label the Services without a written agreement with us;
- Misrepresent your identity or your affiliation with AllenHark, or use the Services in any way that damages or could damage AllenHark's reputation;
- Interfere with or circumvent any rate limits, authentication, billing, metering, or security mechanism of the Services.
Breach of this Section is a material breach of these Terms. We may suspend or terminate access without notice when necessary to protect the Services, our customers, or third parties.
6. Email Communications & Mailgun AUP Flow-Down
AllenHark sends email through Sinch / Mailgun. Where you receive email from us, Section 4 of our Privacy Policy describes how we obtain and document your consent, distinguish transactional from marketing email, and honour unsubscribe requests.
Where any Service permits you to send email through AllenHark (for example, a future SMTP-relay or transactional-API product), you agree to comply with all applicable anti-spam laws and with the Mailgun / Sinch Acceptable Use Policy as if you were a direct customer of Mailgun. In particular you agree that you will: obtain express, recorded, unmarked-by-default opt-in consent before sending marketing email; never send to purchased, rented, or scraped lists; include a clear unsubscribe link in every marketing message and honour unsubscribe requests without undue delay; identify yourself accurately in the From, To, and Reply-To headers; maintain bounce, complaint, and unsubscribe rates below the thresholds set by Mailgun from time to time (currently bounces ≤ 5%, unsubscribes ≤ 1.4%, spam complaints ≤ 0.08%, blocks < 20%); and not use the Services to send any content prohibited by Section 3 of the Mailgun AUP (unlicensed gambling, illegal or harassing content, chain letters, pyramid schemes, payday loans, abusive affiliate marketing, content that exploits minors, etc.).
You acknowledge that the Mailgun AUP allows Mailgun to suspend or terminate the underlying email service for breach, and you agree that any such suspension applied to your traffic is a permitted suspension under these Terms. You will indemnify AllenHark for any losses we suffer (including fines, penalties, and deliverability damage to our sending domains) arising from your breach of this Section.
7. Trading-System Risk Disclosure
No financial, investment, or trading advice. AllenHark provides software and infrastructure tools. We are not a broker-dealer, investment adviser, exchange, money transmitter, or fiduciary, and nothing on the Site or in the Services is a recommendation to buy, sell, hold, or trade any asset. You are solely responsible for evaluating the merits and risks of any transaction you carry out using the Services.
Volatility and total-loss risk. Solana and other crypto-assets are highly volatile. Automated trading strategies, including snipers, arbitrage bots, and MEV bots, can amplify both gains and losses and can fail in ways that are impossible to predict. Smart contracts, wallets, RPC endpoints, validators, and third-party protocols can fail, be exploited, or be censored. You may lose some or all of the value of any asset you transact with.
No performance guarantee. Past performance, backtests, simulations, leader-board placements, customer testimonials, and any other forward-looking statements are illustrative only and are not a guarantee of future results.
Your keys, your risk. You are solely responsible for custody of your private keys and wallet credentials. AllenHark does not custody customer funds and cannot recover lost keys, reverse signed transactions, or compensate you for losses caused by key or seed compromise.
8. Service Levels & Best-Effort Operation
We operate the Services on a commercially reasonable best-efforts basis. Unless a written service level agreement is in place between you and AllenHark, the Services are provided without a specific uptime, latency, or throughput guarantee. Posted performance figures (e.g. shred-arrival latency, RPC response time, leader-proximity routing) are typical observed values and not contractual commitments.
9. Intellectual Property
The Services, the Site, and all software, content, branding, and documentation we make available are owned by AllenHark or our licensors and are protected by copyright, trademark, and other intellectual-property laws. Subject to your compliance with these Terms, we grant you a limited, non-exclusive, non-transferable, revocable licence to access and use the Services solely for their intended purpose. No other rights are granted, by implication or otherwise.
10. Your Content
You retain all rights in any code, configuration, data, or other content you submit to the Services ("Customer Content"). You grant AllenHark a worldwide, royalty-free licence to host, copy, transmit, display, and process Customer Content solely to provide and improve the Services and to comply with our legal obligations. You represent that you have all rights necessary to grant this licence and that the Customer Content does not infringe any third party's rights or violate any law.
11. Third-Party Services
The Services rely on third-party providers, including Sinch / Mailgun (email delivery), payment processors, cloud and bare-metal hosting providers, and public blockchains. Your use of any third-party service through the Services is also subject to that provider's own terms. We are not responsible for the acts or omissions of any third-party provider, and an outage or change at a third-party provider is not a breach of these Terms by us.
12. Beta & Preview
Features marked "beta", "preview", "experimental", or similar are provided AS IS without warranty of any kind. We may change or withdraw a beta feature at any time, and SLAs and service credits do not apply.
13. Disclaimers
EXCEPT AS EXPRESSLY SET OUT IN THESE TERMS, THE SERVICES ARE PROVIDED ON AN "AS IS" AND "AS AVAILABLE" BASIS. TO THE FULLEST EXTENT PERMITTED BY LAW, ALLENHARK DISCLAIMS ALL WARRANTIES, EXPRESS, IMPLIED, OR STATUTORY, INCLUDING WARRANTIES OF MERCHANTABILITY, FITNESS FOR A PARTICULAR PURPOSE, NON-INFRINGEMENT, ACCURACY, AND ANY WARRANTY ARISING FROM COURSE OF DEALING OR USAGE OF TRADE. WE DO NOT WARRANT THAT THE SERVICES WILL BE UNINTERRUPTED, SECURE, OR ERROR-FREE.
14. Limitation of Liability
TO THE FULLEST EXTENT PERMITTED BY LAW, NEITHER PARTY WILL BE LIABLE FOR ANY INDIRECT, INCIDENTAL, SPECIAL, CONSEQUENTIAL, EXEMPLARY, OR PUNITIVE DAMAGES, OR FOR ANY LOSS OF PROFITS, REVENUE, GOODWILL, DATA, OR TRADING OPPORTUNITY, ARISING OUT OF OR RELATED TO THESE TERMS OR THE SERVICES, EVEN IF ADVISED OF THE POSSIBILITY OF SUCH DAMAGES.
EACH PARTY'S TOTAL AGGREGATE LIABILITY ARISING OUT OF OR RELATED TO THESE TERMS WILL NOT EXCEED THE GREATER OF (i) THE FEES YOU PAID ALLENHARK FOR THE AFFECTED SERVICE IN THE THREE MONTHS IMMEDIATELY PRECEDING THE EVENT GIVING RISE TO THE CLAIM, OR (ii) ONE HUNDRED US DOLLARS (USD 100).
Nothing in these Terms limits liability for fraud, fraudulent misrepresentation, death or personal injury caused by negligence, or any other liability that cannot be limited by law.
15. Indemnification
You will defend, indemnify, and hold harmless AllenHark and its officers, directors, employees, and agents from and against any claim, demand, loss, or expense (including reasonable legal fees) arising out of: (a) your use of the Services in breach of these Terms or any applicable law; (b) your Customer Content; (c) your breach of Section 5 (Acceptable Use) or Section 6 (Email / Mailgun AUP); or (d) any trade, transaction, or financial decision you make using the Services.
16. Suspension & Termination
We may suspend or terminate your access to the Services immediately if we reasonably believe you have breached these Terms, if required by law, if directed by a third-party provider whose acceptable-use policy applies (e.g. Mailgun), or to prevent harm to the Services or other customers. You may terminate by cancelling your subscriptions in the Console and ceasing use of the Services. On termination, Sections 7 (Trading-System Risk), 9 (IP), 10 (Your Content licence to AllenHark for processing your remaining data), 13 (Disclaimers), 14 (Limitation of Liability), 15 (Indemnification), and 17 (Governing Law) survive.
17. Governing Law & Dispute Resolution
These Terms are governed by the laws of the British Virgin Islands, without regard to its conflict-of-laws rules. The parties will attempt in good faith to resolve any dispute through informal negotiation within 30 days of written notice. If they cannot, the dispute will be finally resolved by binding arbitration on an individual basis under the BVI International Arbitration Centre (BVI IAC) Arbitration Rules then in force; the seat of arbitration will be the British Virgin Islands, the tribunal will consist of one arbitrator, and the language will be English. You waive any right to participate in a class action or class arbitration. Nothing in this Section prevents either party from seeking injunctive or other equitable relief in a court of competent jurisdiction to protect intellectual property or confidential information.
18. Force Majeure
Neither party will be liable for any delay or failure to perform caused by events beyond its reasonable control, including acts of God, war, terrorism, civil unrest, government action, sanctions, denial-of-service attacks, blockchain consensus failures, validator censorship, internet or power outages, or pandemics.
19. Changes to These Terms
We may amend these Terms from time to time. The "Last updated" date at the top reflects the most recent revision. Material changes will be announced by email to active customers and by a notice on the Site at least 30 days before they take effect; continued use of the Services after that date constitutes acceptance.
20. Miscellaneous
- Entire agreement. These Terms, together with the Privacy Policy and any order form you sign, are the entire agreement between you and AllenHark.
- Severability. If any provision is held unenforceable, the remainder will continue in full force.
- No waiver. Our failure to enforce a provision is not a waiver of our right to do so later.
- Assignment. You may not assign these Terms without our prior written consent. We may assign them to an affiliate or in connection with a merger, acquisition, or sale of assets.
- Notices. Notices to AllenHark must be sent to l•••lallenhark.com. Notices to you may be sent to the email address on your account.
- No third-party beneficiaries. These Terms do not create rights in any third party.
